By downloading, accessing, or using the Kudimata Capital mobile application (the "App"), you agree to be bound by these Terms of Use. If you do not agree, please do not use the App. These terms constitute a legally binding agreement between you and Kudimata Capital Limited ("we", "us", "our").

You must be at least 18 years old and a legal resident of Nigeria or an eligible jurisdiction to use this App. By registering, you represent that the information you provide is accurate and complete. We reserve the right to refuse service or close accounts that do not meet our eligibility criteria.

To access our services, you must create an account and complete our Know Your Customer (KYC) verification process. This includes providing valid identification such as your BVN or NIN. You are responsible for maintaining the confidentiality of your login credentials and transaction PIN. Any activity under your account is your responsibility.

Kudimata Capital provides savings, investment, and wallet management services through the App. Available products include Flexible Savings, Target Savings, Locked Savings, Fixed Income Notes, and Hybrid Notes. Product availability, interest rates, and terms may change at our discretion with appropriate notice to users.

All savings and investment products are subject to their specific terms, including interest rates, maturity periods, and withdrawal conditions. Past performance does not guarantee future results. While we strive to protect your capital, investments carry inherent risk and returns are not guaranteed. Early withdrawal from locked products may incur penalties as disclosed at the time of subscription.

You may fund your wallet using supported payment methods. Withdrawals are processed to your registered bank account and are subject to processing times and applicable limits based on your verification tier. We reserve the right to delay or refuse transactions that appear suspicious or violate applicable regulations.

Kudimata Capital charges zero fees on savings plans. Investment products may carry management or transaction fees as disclosed on each product's detail page. We will notify you of any changes to our fee structure at least 30 days in advance.

Our referral program allows you to earn rewards by inviting others to join Kudimata Capital. Rewards are credited after the referred user completes registration and makes their first qualifying investment. We reserve the right to modify, suspend, or terminate the referral program at any time. Fraudulent or abusive referral activity will result in forfeiture of rewards and potential account suspension.

Our Privacy Policy explains how we collect and use personal information, the service providers involved, retention, and your rights under applicable data protection law, including the Nigeria Data Protection Act 2023. We employ industry-standard security measures including encryption, secure authentication, and transaction PINs to protect your account. You are responsible for keeping your credentials secure. Notify us immediately if you suspect unauthorized access to your account. We are not liable for losses resulting from your failure to safeguard your credentials.

You agree not to use the App for money laundering, terrorist financing, fraud, or any illegal activity. You shall not attempt to reverse-engineer, disrupt, or compromise the App's security. Violation of these terms may result in immediate account termination and referral to appropriate authorities.

To the fullest extent permitted by law, Kudimata Capital shall not be liable for any indirect, incidental, or consequential damages arising from your use of the App. Our total liability shall not exceed the amount in your wallet at the time of the claim. We are not responsible for losses caused by market fluctuations, network failures, or events beyond our reasonable control.

We may update these Terms of Use from time to time. Material changes will be communicated through the App or via email. Continued use of the App after changes are posted constitutes acceptance of the revised terms.

These Terms of Use are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
